Lead2Deed Terms of Service
(Software Usage Agreement)
Last updated October 16, 2026
These Terms of Service ("Terms," formerly our Software Usage Agreement, which these Terms replace) are an agreement between you and Lead2Deed LLC, a Minnesota limited liability company ("Lead2Deed," "we," "us," or "our"). They cover your use of the Lead2Deed website and software at app.lead2deed.com and any related apps, pages, and services (together, the "Service").
By creating an account, checking the box at signup, or using the Service, you agree to these Terms and to our Privacy Policy. If you are signing up for a company, team, or brokerage, you confirm that you can bind it to these Terms, and "you" includes that company. These Terms are valid without our signature. They take effect the first time you accept them or use the Service, whichever comes first. If you do not agree, do not use the Service.
Please read Section 16 carefully. It requires most disputes to be resolved by individual arbitration and waives class actions and jury trials.
1. What Lead2Deed is
Lead2Deed is a customer relationship management (CRM) and transaction management tool for real estate agents, teams, and brokerages. You can store contacts, leads, listings, transactions, tasks, documents, and notes. You can also send emails and other messages from the Service. Lead2Deed is a software tool only. We are not a real estate broker, lender, title company, law firm, or advisor. Nothing in the Service is legal, tax, financial, or real estate advice.
2. Your account
- You must be at least 18 years old and able to enter into a contract.
- Give us accurate information and keep it up to date.
- Keep your password secret. You are responsible for everything that happens under your account and for the users you invite.
- The account owner or administrator controls the company account, including its users, data, and billing.
- Tell us right away at lead2deed@gmail.com if you think someone has used your account without permission.
3. Free trial, subscriptions, and billing
- Free trial. New accounts get a 14-day free trial. No credit card is needed to start it. If you do not add a payment method and subscribe by the end of the trial, your access may be limited or suspended.
- Plans. Current pricing is shown on our website and in the app. As of the date above, pricing is $19.99 per month for up to 5 users and $34.99 per month for up to 10 users. Larger teams may be offered custom pricing. Prices do not include taxes, which you are responsible for.
- Automatic renewal. Paid subscriptions renew automatically each billing period, and we will charge your payment method on file until you cancel. By adding a payment method, you authorize these recurring charges.
- Payment processing. Payments are processed by Stripe. We do not store your full card number.
- Cancellation. You can cancel at any time in your membership settings in the app, or by emailing lead2deed@gmail.com. Cancellation takes effect at the end of your current paid billing period. You keep access until then.
- No refunds. Fees are non-refundable. We do not give refunds or credits for partial billing periods, unused time, unused users, or downgrades, unless the law requires it.
- Price changes. We may change prices. We will notify you at least 30 days before a price change affects your subscription. The new price applies at your next renewal after that notice. If you do not agree, you can cancel before then.
- Failed payments. If a payment fails, we may retry the charge and may suspend your account until payment is made.
4. Your data belongs to you
- You own your data. The contacts, leads, transactions, listings, documents, notes, and other content you or your users put into the Service ("Customer Data") belong to you.
- Our permission to use it. You give us a limited permission to host, copy, process, transmit, and display Customer Data only as needed to provide, secure, support, and improve the Service, to follow the law, and as described in our Privacy Policy. We do not sell Customer Data.
- Your responsibility for the data. You are responsible for Customer Data: that it is accurate, that you have the right to collect it and store it in the Service, and that you have any notices and consents the law requires (for example, from the people whose contact information you upload).
- We will not compete with you using your data. Lead2Deed and its employees, members, owners, and anyone working for us will not use your contacts, clients, prospects, or their home addresses to compete with you in real estate. We access Customer Data only for maintenance, technical support, providing the Service, and internal analytics and development.
- Aggregate data. We may use de-identified and aggregated information, which does not identify you or any person, to operate and improve the Service.
5. Sensitive information
- Do not store it in Lead2Deed. You and your users must not upload, enter, or store any of the following in the Service, whether it is about you or about your clients, customers, or other contacts: Social Security numbers; bank account or routing numbers; credit or debit card numbers; driver's license, passport, or other government ID numbers; tax returns; health or medical information; or passwords for other services ("Sensitive Information"). This includes documents, files, images, and notes that contain it.
- Lead2Deed is not built for it. The Service is not designed or intended to hold Sensitive Information, and we do not give it any special protection.
- If you store it anyway, you are responsible. You are solely responsible for any Sensitive Information that you or your users store in the Service anyway, and for any loss, breach, or claim that results. You agree to defend, indemnify, and hold harmless Lead2Deed LLC from any such loss, breach, or claim, as described in Section 14.
- We may delete it. If we find Sensitive Information in the Service, we may delete it, with or without notice. We are not required to look for it.
- What to do instead. Before you upload a document that contains Sensitive Information, such as a closing statement, loan document, or copy of an ID, redact (black out) that information first. If you need to keep or share the complete document, use a dedicated secure system built for that purpose, such as your title company's secure portal, not Lead2Deed.
6. Backups and exporting your data
You are responsible for keeping your own backup copies of Customer Data that matters to you. We make reasonable efforts to back up the Service, but we do not promise that backups will exist, be complete, or be restorable. You should regularly export or otherwise save copies of important information, such as contacts, transaction records, and documents, outside the Service.
After your account is cancelled or ends, we may delete Customer Data after 30 days, and we have no duty to keep it. Please export what you need before you cancel.
7. Messages you send through the Service
Lead2Deed lets you send emails (delivered through Amazon Web Services' email service) and other communications. You are the sender of these messages, and you are solely responsible for them. You agree that you and your users will:
- follow all laws that apply to your messages and marketing, including the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, the Do-Not-Call rules, and state laws like them;
- get any consent the law requires before you send messages, and honor opt-out and unsubscribe requests promptly;
- follow fair housing laws, including the federal Fair Housing Act and state and local fair housing laws, in your messages, listings, and lead handling;
- follow the rules of any MLS, REALTOR® association, or the National Association of REALTORS® (NAR) that apply to you, including rules on listing data, advertising, and the Code of Ethics;
- follow real estate licensing and advertising rules, including any required brokerage name, license, or disclosure on your messages; and
- not send spam, misleading messages, or messages to people who have asked you to stop.
We may limit, pause, or block sending at any time, for example to protect our sending reputation or after high bounce or complaint rates. We do not guarantee that any message will be delivered.
8. Acceptable use
You will not, and will not let anyone else:
- break any law or anyone else's rights, including privacy and intellectual property rights;
- upload data you do not have the right to use, or upload malware or harmful code;
- try to get into accounts, systems, or data you are not allowed to access, or test, scan, or probe our systems for weaknesses without our written permission;
- interfere with or overload the Service, or use bots or scrapers on it, except through features we provide;
- copy, resell, or rent the Service, or reverse engineer it, except as the law allows; or
- use the Service to build a competing product.
9. Our property
The Service, including its software, design, text, graphics, and logos, belongs to Lead2Deed and its licensors, and we remain the owner of all rights, title, and interest in it, including trademarks and copyrights. These Terms give you a limited, non-exclusive, non-transferable license to use the Service during your subscription for your own real estate business. You may not license, sublicense, sell, or let any third party use the Service except as part of your own business use. Nothing in these Terms gives you ownership of any Lead2Deed confidential information or intellectual property. We keep all other rights. If you send us feedback or ideas, we may use them without any obligation to you.
10. Third-party services
The Service relies on, and may link to, services run by other companies (for example, Stripe for payments, Amazon Web Services for hosting and email, and Google for reCAPTCHA). We are not responsible for third-party services, and your use of them may be covered by their own terms. If a third-party service changes or stops, we may change or remove the related features.
11. Availability and changes to the Service
We do not promise any level of uptime or availability. The Service may be unavailable, slow, or have errors at times, for example during maintenance, updates, outages, or events beyond our control. We may add, change, or remove features at any time. We do not offer a service level agreement (SLA) or service credits.
12. No warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. To the fullest extent the law allows, Lead2Deed disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not promise that the Service will be uninterrupted, timely, secure, or error-free; that bugs will be fixed; that data will be accurate, kept, or not lost or corrupted; that messages, reminders, or notifications will be sent or received on time or at all; or that the Service will meet your needs. Reports, calculations, net sheets, market data, and other outputs are estimates for convenience only. Check them yourself before relying on them. You are responsible for meeting your own deadlines, contract dates, and legal obligations. No oral or written advice from Lead2Deed or its employees or agents creates a warranty. You use the Service at your own risk; the entire risk arising out of its use or performance stays with you.
13. Limitation of liability
To the fullest extent the law allows:
- No indirect damages. Lead2Deed and its owners, members, managers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, commissions, deals, or business opportunities; loss, corruption, or unavailability of data; downtime or service interruptions; missed deadlines or reminders; cost of substitute services; or loss of goodwill, even if we were told these were possible.
- Cap. Our total liability for all claims relating to the Service or these Terms will not be more than the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) $100.
These limits apply to every type of claim, whether in contract, tort (including negligence), strict liability, or otherwise, and even if a remedy fails of its essential purpose. Some places do not allow certain limits, so some of them may not apply to you.
14. Indemnification
You will defend, indemnify, and hold harmless Lead2Deed and its owners, members, managers, employees, and contractors from and against any claims, damages, losses, fines, penalties, costs, and expenses (including reasonable attorneys' fees) that arise from or relate to:
- Customer Data, or your collection and use of it;
- Sensitive Information that you or your users store in the Service in breach of Section 5;
- messages or communications sent by you or your users through the Service, including any claim under CAN-SPAM, the TCPA, Do-Not-Call rules, or similar laws;
- your or your users' compliance with fair housing laws, MLS and REALTOR® association or NAR rules, real estate licensing and advertising laws, and privacy laws;
- your or your users' use of the Service or breach of these Terms; or
- your business operations, including your dealings with your clients, customers, leads, agents, or any other third party.
We may take part in the defense with our own lawyer at our own cost. You may not settle a claim that places an obligation on us without our written consent.
15. Suspension and termination
- By you. You may stop using the Service and cancel at any time, as described in Section 3.
- By us. We may suspend or end your access, in whole or in part, at any time, with or without notice, if you break these Terms, do not pay, create a legal, security, or deliverability risk, or if we stop offering the Service. Where reasonable, we will try to give you notice and a chance to export your data first, but we are not required to.
- After termination. Your right to use the Service ends. Sections 4 (aggregate data and your responsibility), 5, 6, and 7, and Sections 9 and 12 through 19, continue to apply, along with any unpaid fees.
16. Disputes: informal resolution, then individual arbitration
Talk to us first. Before filing any claim, you agree to email lead2deed@gmail.com with a description of the dispute and what you want. We will do the same with you. We both will try in good faith to resolve it informally for 60 days.
Binding arbitration. If we cannot resolve it, any dispute arising from or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (or its Consumer Arbitration Rules, if they apply). A single arbitrator will decide the dispute. The arbitration may be held by video or phone, or in Minnesota, unless the AAA rules require otherwise. The Federal Arbitration Act governs this section. Judgment on the award may be entered in any court that has jurisdiction.
Exceptions. Either of us may bring an individual claim in small claims court if it qualifies. Either of us may ask a court for an injunction to protect intellectual property or to stop unauthorized access to or misuse of the Service. You agree that a breach of Sections 8 or 9 could cause Lead2Deed irreparable harm that money damages would not fix, so we may seek prompt injunctive relief in addition to any other remedy.
Class action and jury trial waiver. You and Lead2Deed may bring claims only on an individual basis, and not as a plaintiff or class member in any class, collective, consolidated, or representative action. The arbitrator may not combine claims of more than one person or award relief to anyone but the individual party. You and Lead2Deed both waive any right to a jury trial. If this class action waiver is found unenforceable for a claim, that claim will be decided in court, not arbitration, and the rest of this section still applies.
Time limit. Any claim must be brought within one year after it arises, or it is permanently barred, to the extent the law allows.
17. Governing law and venue
These Terms are governed by the laws of the State of Minnesota and applicable U.S. federal law, without regard to conflict-of-law rules. For any matter that is allowed to go to court, you and Lead2Deed agree to the exclusive jurisdiction of the state and federal courts located in Minnesota.
18. Changes to these Terms
We may update these Terms from time to time. When we do, we will change the "Last updated" date above. If a change is material, we will give reasonable notice, for example by email or in the app, before it takes effect. If you keep using the Service after the changes take effect, you accept the updated Terms. If you do not agree, you must stop using the Service and cancel.
19. General
- Entire agreement. These Terms and our Privacy Policy are the whole agreement between you and us about the Service.
- Severability. If any part of these Terms cannot be enforced, the rest stays in effect.
- No waiver. If we do not enforce a right, we have not given it up.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them, for example as part of a merger, acquisition, or sale of assets.
- Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control, including outages at hosting, internet, email, or payment providers.
- Notices. We may send notices to the email address on your account. You can send notices to us at lead2deed@gmail.com.
- Electronic agreement. You agree that checking the box at signup and using the Service is your electronic signature and acceptance.
